1. Introduction
Welcome to Shopla Outlet (“Shoplà”, “we”, “us”, “our”), operated by Shoplà Schweiz AG, Voltastrasse 30, 8044 Zürich, Switzerland.
Shopla Outlet is an online product discovery platform that enables users to discover products offered by independent third-party merchants and to initiate purchases directly with those merchants.
Shoplà does not sell products, process payments, or conclude sales contracts on behalf of merchants.
By accessing or using our website, you agree to these Terms of Service (“Terms”).
2. Our role as a platform
Shopla Outlet provides:

The ability for users to proceed to the respective merchant’s online store to complete a purchase
Shoplà operates as a multi-merchant platform and is not the seller of record for any products listed on the website. Shoplà does not act as a payment service provider or contracting party in transactions between users and merchants.
When you click a “Buy”, “Checkout”, or similar button, you proceed to the merchant’s website, where:

Payment is processed

A sales contract is concluded directly between you and the merchant
Shoplà is not a party to any transaction between customers and merchants.
3. Merchant responsibility
Each merchant is solely responsible for:

Order fulfillment and delivery

Taxes, duties, and shipping costs

Customer service

Returns, refunds, and warranty claims

Compliance with applicable laws and regulations
Shoplà reviews products prior to publication and makes reasonable efforts to display accurate merchant-provided information. However, Shoplà does not assume responsibility for the merchant’s performance of its obligations to customers.
4. Prices, payments, and checkout
Prices shown on Shopla Outlet are provided by merchants for informational purposes only.
The binding price, applicable taxes, shipping fees, and payment terms are determined exclusively on the merchant’s website at checkout.
All payments are processed directly by the merchant using their own payment providers.
Shoplà does not collect or process customer payments.
5. Returns, refunds, and warranty
Returns, refunds, and warranty claims must be handled directly with the merchant in accordance with the merchant’s own policies and applicable law.
Shoplà does not:

Accept returned products

Issue refunds

Handle warranty claims
Shoplà may, as a courtesy, provide merchant contact details or facilitate communication, but has no obligation to do so.
6. Product availability and accuracy
Product availability, pricing, and descriptions may change at any time and may not reflect real-time inventory.
Shoplà does not guarantee that:

Prices are accurate at the time of purchase

Product descriptions are error-free
Any discrepancies must be resolved directly with the merchant.
7. Commission disclosure
Shoplà may receive a commission or other compensation from merchants for purchases that originate from the platform.
This compensation does not affect the price paid by customers, unless explicitly stated otherwise.
8. Intellectual property
All content on Shoplà Outlet, including branding, layout, and platform software, is the property of Shoplà or its licensors.
Product images, descriptions, trademarks, and logos remain the property of their respective merchants or rights holders.
Merchants grant Shoplà a non-exclusive, worldwide license to display product information solely for the purpose of product promotion and discovery.
9. Prohibited use
You may not:

Use the platform for unlawful purposes

Attempt to bypass or interfere with redirects or tracking

Misuse product data or merchant content

Scrape, copy, or resell platform content without permission
Shoplà reserves the right to restrict or terminate access for violations.
10. Limitation of liability
To the maximum extent permitted by law, Shoplà shall not be liable for:

Any transaction between customers and merchants

Product defects, delays, or non-delivery

Losses resulting from inaccurate product information

Acts or omissions of merchants or third parties
Shoplà’s liability, if any, is limited to damages caused by willful misconduct or gross negligence.
11. Indemnification
You agree to indemnify and hold harmless Shoplà from claims arising out of:

Violation of these Terms or applicable laws
12. Termination
Shoplà may suspend or terminate access to the platform at any time if:

Use is abusive, unlawful, or misleading
Termination does not affect rights or obligations arising prior to termination.
13. Governing law and jurisdiction
These Terms are governed by the laws of Switzerland, excluding conflict-of-law rules.
The exclusive place of jurisdiction is Zürich, Switzerland, unless mandatory consumer protection law provides otherwise.

Shoplà may update these Terms from time to time.

Continued use of the platform constitutes acceptance of the updated Terms.
